These Terms and Conditions (the “Terms”) govern the use of the sabah-city.com website (the “Website”) operated by “SABAH CITY” LLC, TIN 1703866631, registered at AZ1003, 5 Neftchi Gurban Abbasov Street, Sabail District, Baku, Republic of Azerbaijan (the “Company”, “we”, “us” or “our”), the premises, buildings and common areas of the High Technologies Park under the Ministry of Science and Education of the Republic of Azerbaijan operated by the Company (together, the “Premises”), as well as participation in events and other activities held at the Premises.

The Company operates in areas including the development of innovation and high technologies, research and commercialisation, support for entrepreneurship and the startup ecosystem, education and development initiatives, work, research and production infrastructure, ecosystem programmes, events and other related activities.
By accessing the Website, entering the Premises or participating in an event or other activity held at the Premises, you confirm, to the extent applicable to you, that you have read and agree to comply with these Terms.

1. Scope of these Terms

1.1. These Terms apply, as relevant, to Website users, applicants, visitors and guests entering the Premises, event attendees, employees and representatives of residents and tenants, service providers and other persons lawfully using the Premises.

1.2. Residency and implementation of innovation projects, lease or other use of premises, provision of infrastructure and services, payments, use of incentives and privileges, and other specific legal relationships with the Company are governed by applicable law, relevant procedures and separate agreements or other documents between the relevant parties. These Terms do not replace or amend the rights and obligations set out in those documents.

1.3. If a separate agreement or other binding document differs from these Terms in relation to a specific matter, that separate document will apply to that matter. However, rules concerning access to the Premises, general safety, conduct and use of common areas will continue to apply unless the separate document expressly provides otherwise.

1.4. Where separate registration, ticketing, accreditation or participation terms apply to an event held at the Premises, those terms apply in addition to these Terms in relation to participation in that event. The provisions of these Terms concerning access, safety, conduct, property and use of common areas remain applicable during the event.

1.5. Personal data is collected and processed in accordance with the Privacy Policy.

2. Company activities and Website information

2.1. The Website and other official channels may provide general information about the Company’s activities, the innovation and technology ecosystem it operates, infrastructure, development areas, programmes and initiatives, categories of residents and partners, support opportunities, events and other activities.

2.2.Depending on the relevant project and available opportunities, activities may include support for innovation and high technologies, research and commercialisation, incubation and acceleration, technology transfer, startup and entrepreneurship support, education and development programmes, work, research and production spaces, ecosystem events and other related activities.

2.3. Unless expressly stated otherwise, information published on the Website or in other general information materials is provided for informational purposes only and does not constitute a legal offer, guarantee or commitment to grant residency status, allocate premises, provide a particular service, financing, investment, incentive or privilege, admit a person to a programme or enter into an agreement.

2.4. Development plans, roadmaps, dates, future infrastructure, services and programmes may reflect planned or expected activities and may be changed depending on project development, applicable law, technical, safety, commercial or other circumstances.

2.5. Information regarding tax incentives, financing, investment or other legal and commercial opportunities is general in nature. The application of any such opportunity to a particular person depends on that person’s legal status, eligibility criteria, applicable law, decisions of competent authorities and separately agreed terms.

3. Applications and contact forms

3.1. The Website may provide application and contact forms for expressing interest in cooperation, joining the ecosystem, residency, programmes and other opportunities, or for submitting general inquiries.

3.2. Submission of an application does not mean that it has been accepted and does not create a right to residency status, allocation of premises, admission to any programme or service, financing or an incentive, or the conclusion of an agreement with the Company.

3.3. Depending on the nature of the application, we may request additional information or documents, contact the applicant and apply a separate assessment, eligibility review, selection or contracting process.

3.4. When submitting an application or form, you must provide accurate, complete and up-to-date information. If you provide information on behalf of another person or organisation, you must have appropriate authority to do so.

4. Website use

4.1. You must use the Website only for lawful purposes and in accordance with these Terms and applicable law.

4.2. You must not interfere with the operation of the Website or related systems, attempt to bypass security measures, gain unauthorised access, transmit malicious code, impersonate another person, knowingly submit false or misleading information, or use the Website in a way that infringes third-party rights or for any other unlawful purpose.

4.3. We may take appropriate technical and organisational measures to protect the security and proper operation of the Website and may restrict relevant access in response to unlawful or abusive activity.

5. Access to the Premises and use of common areas

5.1. Access to the Premises and to particular buildings, floors, rooms, laboratories, work, research, production and other areas is permitted only on the basis of appropriate authorisation, invitation, registration, accreditation or another lawful basis. Certain areas may be reserved for residents, tenants, their employees or other specifically authorised persons.

5.2. Entry may require advance registration, identity verification, confirmation of invitation or access status, or presentation of a badge, QR code, access card or other access credential. Such credentials are personal and may not be transferred to or used by another person unless expressly permitted.

5.3. Access to particular buildings or areas may be temporarily restricted, and access routes or operating hours may be changed for safety, maintenance, construction or repair, events, capacity, emergencies or other justified operational reasons.

5.4. While at the Premises, you must comply with lawful and reasonable access, safety, health, emergency and operational instructions of Company personnel, security staff and other authorised venue or event personnel, as well as signs and notices displayed at the Premises.

5.5. Access may be restricted or refused, or a person may be required to leave the Premises, where these Terms, safety requirements or access rules are breached, an invalid or another person’s access credential is used, or there is a safety risk or unlawful conduct.

6. Events and other activities

6.1. Baku ID events, as well as conferences, innovation and ecosystem events, presentations, meetings, training sessions, exhibitions, demo days and other activities may be held at the Premises. Such events may be organised by the Company or by a separate event organiser.

6.2. Participation in an event may require registration, a ticket, invitation, accreditation or eligibility for a particular participant category. Registration or access rights issued for an event are valid only for the relevant event, time, attendee and authorised areas and do not provide access to other parts of the Premises, resident areas or other services.

6.3. The event organiser may determine and, where necessary, change the programme, speakers, sessions, times, areas used, attendee capacity and other operational details. Access to a particular session, building or area may be subject to capacity, accreditation and security restrictions.

6.4.Where an event has a separate organiser, matters specific to that event, including content, registration and ticket terms, programme, attendee communications, cancellation or postponement and refunds, are governed by the applicable terms of that organiser and applicable law. Unless the Company expressly assumes a particular obligation, it is not responsible for the independent obligations of a separate event organiser.

6.5. Event attendees must also comply, throughout the event, with the provisions of these Terms concerning access to the Premises, conduct, safety, property, recordings and personal data.

7. Conduct at the Premises

7.1. The Premises are used as a professional, safe and respectful environment for innovation and collaboration. Persons at the Premises must treat visitors, residents, tenants, employees, event attendees, speakers and service providers with respect.

7.2. Harassment, discrimination, intimidation, threats, violence, unwanted physical contact, deliberate disruption of public order or events, interference with the lawful activities of others, damage to property, unauthorised commercial solicitation or customer acquisition, and unlawful activity are prohibited.

7.3. Unauthorised access to restricted areas, interference with access or security systems, disabling or obstructing fire alarms, evacuation systems, CCTV or other safety measures, and blocking evacuation or access routes are prohibited.

7.4. Items or substances prohibited by law or restricted for safety reasons may not be brought into or used at the Premises. Additional safety, access and use rules may apply to particular buildings, areas and events.

7.5. Depending on the nature of a breach, a warning may be given, access to particular areas may be restricted, the person may be required to leave the Premises, compensation for damage may be sought and, where required by law, the relevant authorities may be informed.

8. Safety and emergencies

8.1. Fire safety, evacuation, entry and exit, security, health and other safety requirements must be observed at the Premises. In an emergency or security incident, instructions of authorised personnel must be followed immediately.

8.2. To maintain safety, and to the extent permitted by law, access and accreditation checks, reasonable security measures concerning items brought into the Premises and other appropriate controls may be applied.

8.3. CCTV systems may be used in common areas and entry and exit points for security purposes. Processing of personal data through CCTV and other security processes is carried out in accordance with the Privacy Policy.

8.4. During an emergency or safety incident, access to particular services or areas may be temporarily suspended, persons may be evacuated and movement within the Premises may be restricted.

9. Property, equipment and personal belongings

9.1. Common areas, furniture, technical equipment and other infrastructure must be used only for their intended purpose and in accordance with applicable instructions and rules.

9.2. You must not make unauthorised changes to property belonging to the Company or others, dismantle or move equipment or installations, interfere with networks or utility systems, or otherwise damage property.

9.3. Visitors and event attendees are responsible for the security of their personal belongings. Unless otherwise required by law, no guarantee is given that unattended, lost or third-party-removed property will be recovered.

9.4. Where a person causes damage to the Company, a resident, tenant, event organiser or another person through a culpable act or omission, compensation may be claimed in accordance with applicable law.

10. Photography, video and other recordings

10.1. Photographs, video, audio and livestream recordings may be made at the Premises and during events by the Company, event organisers, authorised photography and video teams and media representatives.

10.2. General images of the Premises and events may be used to report on, archive and promote the relevant activities and events in accordance with the Privacy Policy and applicable law. Where required by law, interviews, testimonials, focused portraits and advertising content centred on an identifiable individual will be based on separate consent.

10.3. When taking photographs or videos for personal purposes, you must respect the rights of others, confidentiality obligations, recording restrictions imposed by event organisers, residents or tenants, and signs displayed at the Premises. Recording is not permitted in restricted, security-sensitive or otherwise designated no-recording areas.

10.4. Prior permission may be required for professional commercial filming, advertising, broadcasting or other commercial content production at the Premises.

11. Intellectual property

11.1. Rights in the Company’s corporate name and logo, the Website design, texts, graphics, photographs and videos, presentations, maps, plans and other materials created by or lawfully used by the Company belong to the Company or the relevant rights holder.

11.2. Materials on the Website and materials provided by the Company may be used for personal and informational purposes. Except as permitted by law, prior permission of the relevant rights holder may be required to reproduce, modify, distribute, publish, license or otherwise use such materials for commercial purposes.

11.3. Rights in names, logos, presentations, software, research and other materials belonging to residents, tenants, event organisers and other third parties remain with the relevant rights holders.

12. Third parties and external links

12.1. The Website and Company activities may include information about residents, partners, public and private entities, education and research institutions, startups, investors, event organisers and other third parties, as well as links to their services.

12.2. Reference to a third party on the Website, its operation at the Premises or its organisation of an event does not, unless expressly stated otherwise, mean that the Company guarantees all products, services, statements or activities of that party.

12.3. External websites, third-party services and separate organisers may be subject to their own terms of use, participation and privacy policies. The Company is responsible for their independent activities and obligations only to the extent required by law or expressly agreed.

13. Accuracy of information and Website availability

13.1. We take reasonable measures to keep information on the Website accurate and up to date. However, given the evolving nature of the Company’s activities and related projects, information may change, be updated or be incomplete from time to time.

13.2. We do not guarantee that the Website or all of its functions will be uninterrupted, error-free or available at all times. Parts of the Website may be temporarily restricted due to maintenance, updates, security requirements or circumstances beyond our control.

14. Liability

14.1. Nothing in these Terms excludes or limits any liability or rights that cannot be excluded or limited under the laws of the Republic of Azerbaijan.

14.2. To the extent permitted by law, we are not liable for indirect or consequential losses resulting from decisions based on general information on the Website, a user’s failure to comply with these Terms or safety instructions, independent actions of third parties, or temporary unavailability of the Website.

14.3. Information on the Website and in general information materials does not constitute specific legal, tax, financial, investment, technical or other professional advice. Relevant information and terms should be independently verified before making a specific decision.

14.4. In relation to an event organised by a third party, the Company is responsible for the event content, programme, ticketing and registration relationship, statements made by that organiser and other independent obligations only where the Company has expressly assumed the relevant obligation or is liable under applicable law.

15. Privacy and personal data

15.1. Personal data collected and processed through use of the Website, submission of application and contact forms, entry to and visits at the Premises, safety and accreditation processes, and events or other activities held at the Premises is handled in accordance with the Privacy Policy.

15.2. Where a separate event organiser collects attendee data directly, that organiser’s privacy policy may also apply to the relevant processing activities.

16. Changes to these Terms

16.1. We may update these Terms where the Website, infrastructure at the Premises, events and services, operational or safety requirements, or applicable law change.

16.2. Updated Terms take effect when published on the Website. Additional operational rules for the Premises or events may also be communicated through signage, registration pages, invitations, electronic notices or other appropriate means.

17. Governing law, disputes and contact

17.1. These Terms and relationships arising from them are governed by the laws of the Republic of Azerbaijan.

17.2. We will first seek to resolve disputes relating to these Terms through good-faith communication and negotiation. If no agreement is reached, the dispute may be resolved by the competent courts of the Republic of Azerbaijan.
